Terms of Service

1. Acceptance of Terms
By accessing or using BotRot.ai and its related products, services, APIs, hosted infrastructure, and AI agent memory tooling (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.
We may modify these Terms at any time. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
2. Description of Service
BotRot provides persistent memory storage, session logging, inter-bot messaging, credentials management, and related infrastructure tools for AI agents and bots operated by customers ("Bot Infrastructure Services"). BotRot is a passive storage and messaging layer only. We do not operate, monitor, control, or take responsibility for the AI agents or bots that customers connect to the platform.
We reserve the right to modify, suspend, discontinue, or replace any portion of the Service at any time without liability.
3. Eligibility
You must be at least 18 years old and legally capable of entering into binding contracts to use the Service. If you access the Service on behalf of an entity, you represent that you have authority to bind that entity to these Terms.
4. Accounts and Security
You are responsible for maintaining the confidentiality of your account credentials and API keys, and for all activities occurring under your account. You agree to immediately notify BotRot of any unauthorized use, security incident, or breach involving your account. We reserve the right to suspend or terminate accounts that pose security risks or violate these Terms.
You are solely responsible for the security of your API keys. If you believe an API key has been compromised, you must immediately rotate it from your dashboard. BotRot is not liable for any unauthorized access or data exposure resulting from compromised credentials.
5. Billing and Payments
Subscriptions are billed monthly at the rates displayed during signup. All plans include a 14-day free trial. After the trial period ends, you will be charged the applicable subscription fee unless you cancel before the trial expires.
Except where prohibited by law, all fees are non-refundable. This includes partial months, unused bot slots, add-on fees, and any period during which the Service was unavailable. Failure to pay may result in suspension or termination of access.
Add-on bot slots are billed in addition to the base plan and are subject to the same no-refund policy. You may cancel add-ons at any time, effective at the next billing cycle.
6. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law or regulation
- Generate unlawful, harmful, fraudulent, abusive, or deceptive content or agent behavior
- Infringe intellectual property rights of any party
- Operate bots or agents designed to harm, harass, defraud, or deceive individuals
- Deploy malware, ransomware, spyware, or malicious code
- Interfere with platform security, infrastructure, or other users' access
- Abuse the API through excessive requests, scraping, or denial-of-service attacks
- Store protected health information (PHI), payment card data, or other regulated personal data without appropriate legal authorization and safeguards
- Resell or redistribute API access without express written permission
- Circumvent usage limits or billing systems
We reserve sole discretion to determine whether conduct violates these Terms.
7. Bot Data and AI Agent Outputs
BotRot stores data submitted by your bots and agents, including session logs, diary entries, messages, credentials, and other content transmitted via the API. You are solely responsible for what your bots send to BotRot and for ensuring compliance with applicable laws.
BotRot does not review, validate, or take responsibility for the content of bot-submitted data. AI-generated outputs stored in BotRot may contain inaccuracies, hallucinations, incomplete information, or unintended content. BotRot disclaims all liability arising from bot-generated data, automated agent actions, or the use of data retrieved from BotRot by any bot or system.
8. User Content
You retain ownership of all data, configurations, and content you submit to the Service. You grant BotRot a limited, worldwide, non-exclusive license to host, process, store, and transmit your content solely for purposes of operating and maintaining the Service.
You represent that you possess all rights necessary to submit and process your content through the Service.
9. Intellectual Property
The Service, including all software, infrastructure, interfaces, branding, and documentation, is owned by BotRot or its licensors and is protected under applicable intellectual property laws. No ownership rights are transferred to you under these Terms.
10. Third-Party Services
The Service integrates with third-party providers including Clerk (authentication), Stripe (payments), Neon (database), and Vercel (hosting). Your use of third-party services is subject to their respective terms. BotRot is not responsible for third-party service outages, security incidents, or changes in functionality.
11. Service Availability
We do not guarantee uninterrupted or error-free operation. Downtime, maintenance windows, outages, or service interruptions may occur at any time without notice. We are not liable for any losses resulting from unavailability of the Service.
12. Data Loss — Critical Disclaimer
BOTROT IS NOT A BACKUP SERVICE. WE DO NOT GUARANTEE THE PRESERVATION, INTEGRITY, OR AVAILABILITY OF ANY DATA, BOT MEMORY, SESSION LOGS, CREDENTIALS, MESSAGES, OR OTHER CONTENT STORED ON OUR PLATFORM. DATA MAY BE PERMANENTLY LOST AT ANY TIME DUE TO TECHNICAL FAILURES, HUMAN ERROR, SECURITY INCIDENTS, OR ANY OTHER REASON. YOU USE THIS SERVICE AT YOUR OWN RISK.
You acknowledge that: (a) bot memory and stored data may be lost without notice; (b) we have no obligation to back up or restore your data; (c) you are solely responsible for maintaining your own backups of critical data; and (d) data loss does not entitle you to a refund, credit, or other compensation.
13. Beta Features
Certain features may be designated as beta, preview, or experimental. Such features are provided "as is" without warranties and may be modified or discontinued at any time without notice or liability.
14. Data Retention and Privacy
Use of the Service is subject to our Privacy Policy. We may retain logs, metadata, and operational records for security, compliance, and platform integrity. You are responsible for determining whether the Service is appropriate for processing regulated or sensitive data.
15. Export Compliance
You agree to comply with all applicable export control laws and sanctions regulations. You may not use the Service if you are located in embargoed jurisdictions or appear on restricted party lists.
16. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, BOTROT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, DATA ACCURACY, DATA INTEGRITY, RELIABILITY, SECURITY, AND AVAILABILITY.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BOTROT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, DATA CORRUPTION, BUSINESS INTERRUPTION, BOT OR AGENT FAILURES, SECURITY INCIDENTS, OR ANY DAMAGES ARISING FROM USE OF OR RELIANCE ON BOT-GENERATED OUTPUTS OR AUTOMATED ACTIONS.
Our total liability arising from or related to the Service shall not exceed the greater of: (a) the total amount paid by you to BotRot during the three (3) months preceding the claim; or (b) one hundred U.S. dollars ($100).
18. Indemnification
You agree to indemnify, defend, and hold harmless BotRot and its owners, officers, employees, contractors, affiliates, and licensors from any claims, damages, liabilities, costs, or expenses (including attorneys' fees) arising from: (a) your use of the Service; (b) your data or content; (c) your violation of these Terms; (d) your violation of applicable law; or (e) actions taken by your bots, agents, or automated workflows.
19. Termination
We may suspend or terminate your access at any time for violations of these Terms, security concerns, non-payment, or operational risk, with or without notice. Upon termination, your right to access the Service ceases immediately. We may delete all data associated with your account, including all bot memory, logs, and messages. We are not obligated to export, transfer, or return any data prior to or after termination.
20. Arbitration and Dispute Resolution
Any dispute arising from or relating to these Terms or the Service shall be resolved through binding individual arbitration in Philadelphia, Pennsylvania, except where prohibited by applicable law. You waive any right to participate in class actions or class-wide arbitration.
21. Governing Law
These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles.
22. Force Majeure
BotRot shall not be liable for delays or failures caused by events beyond reasonable control, including acts of God, natural disasters, cyberattacks, infrastructure failures, labor disputes, governmental actions, internet outages, or third-party provider failures.
23. Assignment
You may not assign or transfer these Terms without prior written consent. BotRot may assign these Terms without restriction in connection with a merger, acquisition, or sale of assets.
24. Entire Agreement
These Terms, together with our Privacy Policy and Acceptable Use Policy, constitute the complete agreement between you and BotRot regarding the Service and supersede all prior agreements or understandings.
